HELMA Eigenheimbau AG: EUR 25.5 million promissory note successfully issued / Early repayment of HELMA 2013 bond approved / Rating upgrade to BBB+

Lehrte, August 1, 2016 - HELMA Eigenheimbau AG, the specialist for individual solid construction homes and sustainable energy concepts, has successfully concluded early refinancing of the HELMA bond that it issued in 2013.

A EUR 25.5 million promissory note was issued on favourable terms for HELMA Wohnungsbau GmbH, guaranteed by HELMA Eigenheimbau AG, consisting of two fixed interest tranches with maturities of 5 and 7 years. The promissory note was placed at the lower end of the marketing range among investors from the banking and insurance area, respectively. This promissory note issue was managed by Sparkasse Hannover as Mandated Lead Arranger and Bookrunner as well as Berenberg as Selling Agent.

HELMA Eigenheimbau AG also concluded a EUR 10 million, five-year fixed interest KfW financing facility. This financing volume carries an average term of around three years as a result of ongoing repayment while taking into account a repayment-free year.

As a consequence, the HELMA Group has at its disposal a total further amount of uncollateralised financing resources of EUR 35.5 million with an average term of about 5 years at a weighted average interest rate of approximately 2.5 % p.a. The funds are to be deployed to refinance the HELMA bond that was issued in 2013.

Approval of early repayment of HELMA bond:

Following the cash inflows from the promissory note transaction and the KfW financing facility, the Management Board of HELMA Eigenheimbau AG passed a resolution today pursuant to section 4 (c) of the bond terms to make early call as of September 19, 2016, of the existing EUR 35 million, 5.875 % coupon bond (ISIN: DE000A1X3HZ2) that was issued in 2013, and to repay it at 101 % of par. HELMA Eigenheimbau AG is utilising its early call right to significantly reduce its annual interest costs that are connected with the bond from around EUR 2.1 million to approximately EUR 0.9 million.

Rating upgrade to BBB+:

Creditreform Rating AG has raised the corporate rating of HELMA Eigenheimbau AG from BBB to BBB+. This consequently unchanged investment grade rating underscores the high solidity and financial strength of HELMA Eigenheimbau AG.
